What is an Undertaking Letter?

An undertaking letter is a written promise in which a person or organisation commits to do something, or not to do something, in the future. Where a declaration states facts that are true today, an undertaking looks ahead: 'I undertake to submit my original certificates within 30 days', 'I undertake to repay the advance if I leave before one year', or 'We undertake to complete the work by 31 March'.

Undertakings are used everywhere in India. Colleges ask students for undertakings about attendance, fees, documents and conduct. Employers ask employees for undertakings about returning company property or serving a notice period. Banks and landlords ask for undertakings about payments or the use of premises, and government offices ask applicants to undertake that they will comply with conditions attached to a licence or benefit.

Most undertakings are simple letters that need only the signature of the person giving the promise, which makes them a natural fit for Aadhaar eSign: the OTP confirms the signer's identity and the signature is embedded in the PDF. When the receiving authority asks for an undertaking on stamp paper, or for a notarised undertaking, that requirement still applies, so check their instructions before you sign.

Who needs an undertaking letter?

Students

Submit undertakings to colleges and universities about documents, fees, attendance or conduct without visiting a notary for a simple letter.

Employees

Give your employer a signed undertaking about notice periods, company assets, confidentiality or training costs.

Businesses and contractors

Commit to delivery timelines, quality standards or compliance conditions in a signed letter to a client or authority.

Tenants and borrowers

Provide a landlord, society or lender with a signed undertaking about payments or the use of a property.

Legal framework

Legally valid under Indian law

An undertaking letter can be signed with Aadhaar eSign under Section 3A of the IT Act 2000, and a breach of a clear undertaking can have legal consequences, so write only what you can actually do. A plain undertaking letter does not usually need stamp paper or notarisation. However, some institutions ask for the undertaking on non-judicial stamp paper of a set value, or ask for it to be notarised or sworn as an affidavit. Where stamp paper is required, buy an e-stamp certificate for your state first and attach it to the PDF before signing. Where notarisation or swearing is required, follow the authority's process, because an eSign does not replace a notary's attestation.

Primary reference: Section 3A, IT Act 2000

Important note

Requirements differ by institution. Check whether the receiving authority wants stamp paper or notarisation before you sign.

FAQs

What is the difference between an undertaking and a declaration?
A declaration states facts that are true now. An undertaking is a promise about what you will or will not do in the future. Many forms contain both, but they are different commitments.
Is an undertaking letter legally binding?
A clear undertaking can be enforced, and breaking it can have consequences, especially when the other party relied on it. Only undertake what you can actually do.
Does an undertaking letter need stamp paper?
Usually not. A plain undertaking letter does not need stamp paper. Some colleges, banks and government offices ask for it on non-judicial stamp paper; in that case buy an e-stamp certificate for your state and attach it before signing.
Can I eSign an undertaking for college admission?
Yes, if the college accepts electronically signed documents, which many do. If the college asks for a notarised undertaking or an affidavit, follow their process.
Who signs an undertaking letter?
The person or authorised representative making the promise. Some formats also ask for a parent, guardian, guarantor or witness to sign; add them as additional signers.
How much does it cost to eSign an undertaking letter?
₹15 per signature, GST included. An undertaking with one signer costs ₹15.
