What is Loan Agreement?

A loan agreement is a contract in which a lender gives money to a borrower and the borrower agrees to repay it on agreed terms. It records the amount, the interest rate (or that the loan is interest-free), the repayment schedule, what happens if a payment is missed, and any security or guarantee. It is a contract under the Indian Contract Act 1872 between the lender and the borrower.

Loan agreements are used well beyond banks. Friends and relatives lending money to each other use a simple loan agreement (often called a friendly loan agreement) so that everyone remembers the same terms. Founders lend money to their own companies, companies give loans or advances to employees, and small businesses borrow from individuals or other businesses. In each case a signed agreement is the main evidence of what was agreed if there is ever a dispute.

A loan agreement itself can be signed with Aadhaar eSign. Two points matter in India. First, a loan agreement attracts stamp duty under the Stamp Act of your state, usually based on the loan amount, so it should be executed on e-stamp paper of the right value. Second, a promissory note is a negotiable instrument, and negotiable instruments are excluded from electronic signing under Schedule I of the IT Act, so keep the agreement as an agreement and do not convert it into an eSigned promissory note. Lending money as a regular business may also need a licence under state money lending laws or RBI rules, which is separate from signing the document.

Common mistakes to avoid

Lending based on a verbal promise with no written agreement
Not paying stamp duty, which can cause penalties and evidence problems later
Using an eSigned promissory note, which is not valid because negotiable instruments are excluded
Leaving the interest rate or repayment dates vague
Not recording how the money was transferred (bank transfer details are useful evidence)

Legal validity of an eSigned loan agreement

A loan agreement is a contract and can be signed with Aadhaar eSign under Section 3A of the IT Act 2000. It attracts stamp duty under your state's Stamp Act, which is often linked to the loan amount, so buy an e-stamp certificate of the correct value before signing; an understamped agreement can face penalties and may not be admissible as evidence until the duty is paid. A promissory note is a negotiable instrument under the Negotiable Instruments Act 1881 and is excluded from electronic signatures under Schedule I of the IT Act, so do not use eSign for a promissory note. If the loan is secured by mortgaging immovable property, the mortgage itself has separate requirements. Lending money as a business may require a licence under state money lending laws or RBI regulation.

Frequently asked questions

Everything about eSigning your loan agreement in India.

Is an eSigned loan agreement legally valid?
Yes. A loan agreement is a contract and can be signed with Aadhaar eSign under Section 3A of the IT Act 2000. Stamp duty must still be paid on it.
Does a loan agreement need stamp paper?
Yes. Loan agreements attract stamp duty under the Stamp Act of your state, usually based on the loan amount. Buy an e-stamp certificate of the right value before signing.
Can I eSign a promissory note instead?
No. A promissory note is a negotiable instrument, and negotiable instruments are excluded from electronic signatures under Schedule I of the IT Act. Use a loan agreement.
Do I need a loan agreement for a friendly loan to a relative?
It is not mandatory, but a short written agreement avoids misunderstandings and gives both sides evidence of the amount and repayment terms.
Should the loan agreement be notarised or registered?
A simple unsecured loan agreement does not need registration or notarisation. Loans secured by a mortgage of immovable property have separate requirements for the mortgage.
How much does it cost to eSign a loan agreement?
₹15 per signature, GST included. Lender and borrower together cost ₹30, plus ₹15 for a guarantor. Stamp duty is separate.
